Welcome to Shaping Memories. These Terms of Service (“Terms”) govern your use of the Shaping Memories website, coaching services, programs, materials, workshops, courses, assessments, and other services offered by Shaping Memories (“Shaping Memories,” “we,” “us,” or “our”).
By accessing our website, purchasing a service or program, scheduling or participating in coaching, or otherwise using our services, you acknowledge that you have read, understood, and agree to these Terms.
1. Our Services
Shaping Memories provides coaching services designed to support personal and professional growth. Services may include, but are not limited to:

2. Coaching Relationship
Coaching is a collaborative process intended to help clients identify goals, gain clarity, explore possibilities, overcome obstacles, develop action steps, and move intentionally toward desired personal or professional outcomes.
The client remains responsible for their own decisions, actions, choices, and results.
Our coaches may provide questions, observations, education, resources, strategies, accountability, and recommendations. However, the client determines which actions, if any, they choose to take.
Participation in coaching does not create a fiduciary, medical, therapeutic, legal, employment, partnership, or other professional relationship beyond the coaching services specifically agreed upon.
3. Coaching Is Not Therapy or Medical Care
Shaping Memories provides coaching and educational services. Coaching is not psychotherapy, psychological counseling, psychiatric treatment, or other mental health treatment.
Although discussions during coaching may include personal experiences, relationships, emotions, beliefs, past experiences, health and wellness goals, or life challenges, coaching is generally focused on personal development, future goals, decision-making, and forward movement.
Coaching services are not intended to diagnose, treat, cure, or prevent any mental or physical health condition.
Clients experiencing mental health concerns, significant emotional distress, a medical condition, or a crisis should seek assistance from an appropriately licensed healthcare or mental health professional.
If you believe you are experiencing a medical or mental health emergency, contact 911 or the appropriate emergency services in your location.
4. No Medical, Legal, Financial, or Other Professional Advice
Information provided through Shaping Memories is for coaching, educational, and informational purposes.
Nothing provided through our website, coaching sessions, programs, courses, workshops, social media, emails, or other materials should be interpreted as medical, psychological, legal, accounting, investment, tax, or financial advice.
Professional credentials or prior professional experience held by a Shaping Memories coach do not change the nature of the coaching relationship unless a separate professional service agreement expressly states otherwise.
Clients should consult appropriately licensed professionals regarding matters requiring specialized professional advice.
5. Client Responsibilities
Coaching works best when clients actively participate in the process.
By participating in coaching, you agree to take responsibility for your own choices, decisions, actions, and outcomes. You are encouraged to:

6. No Guarantee of Results
Shaping Memories is committed to providing professional, supportive, and thoughtful coaching. However, individual results vary.
We do not guarantee that participation in coaching will result in any particular personal, professional, health, career, leadership, relationship, business, or financial outcome.
Testimonials, examples, case studies, or descriptions of previous client experiences are provided for illustrative purposes only and do not guarantee that another client will achieve the same or similar results.
Your results may depend on many factors, including your participation, circumstances, decisions, effort, consistency, and implementation of action steps.
Any specific guarantee offered as part of a particular program will be governed by the written terms of that offer.
7. Scheduling, Cancellations, and Missed Appointments
Clients are responsible for attending scheduled coaching appointments on time.
Unless different terms are provided for a specific program, we request at least 24 hours’ notice when rescheduling or canceling an individual coaching appointment.
Appointments canceled with insufficient notice or missed without notice may be considered used and may not be eligible for a refund or replacement session.
We understand that emergencies occur and may consider exceptions at our discretion.
Shaping Memories reserves the right to reschedule a session when necessary. When possible, reasonable notice and an alternative appointment time will be provided.
8. Fees and Payment
Fees for coaching services, programs, workshops, courses, or other offerings will be disclosed before purchase or enrollment.
By purchasing a service, you agree to pay all applicable fees according to the payment terms presented at the time of purchase.
If a payment plan is offered, you remain responsible for completing all payments according to the agreed schedule unless otherwise stated in writing.
Failure to make required payments may result in suspension or termination of services.
9. Refunds
Unless otherwise stated in writing for a specific program or service, fees paid for completed coaching sessions, digital materials, assessments, workshops, masterclasses, or services already provided are non-refundable.
Any refund, cancellation, or satisfaction guarantee specifically advertised for a program will be governed by the written terms provided with that offer.
Before purchasing a program, clients are encouraged to review the program description carefully and ask questions regarding the service.
10. Confidentiality
Shaping Memories respects the privacy of our coaching clients and will make reasonable efforts to maintain the confidentiality of information shared during private coaching sessions.
However, coaching confidentiality is not necessarily protected by the same legal privileges that may apply to relationships with attorneys, physicians, psychotherapists, or other licensed professionals.
Information may be disclosed when required by law, court order, or other legal obligation, or when disclosure is reasonably believed necessary to address an imminent threat of serious harm, subject to applicable law.
Group coaching, workshops, online communities, and similar settings involve other participants. Shaping Memories cannot guarantee that other participants will maintain the confidentiality of information voluntarily shared in those environments.
Clients should use discretion when sharing sensitive information in group settings.
11. Electronic Communications and Online Coaching
Coaching may be provided by video conference, telephone, email, messaging platforms, or other electronic methods.
You acknowledge that electronic communications and internet-based services may involve risks outside the reasonable control of Shaping Memories, including technical failures, interruptions, unauthorized access, or security vulnerabilities.
You are responsible for participating from an environment that provides the level of privacy you desire.
12. Intellectual Property
Unless otherwise stated, all original content and materials provided by Shaping Memories are owned by or licensed to Shaping Memories and are protected by applicable intellectual property laws.

Purchasing or participating in a Shaping Memories program gives you a limited, personal, non-exclusive, non-transferable right to use the materials for your own personal or professional development.
You may not reproduce, distribute, sell, publish, teach, license, share, modify for commercial use, or otherwise exploit Shaping Memories materials without prior written permission.
13. Recording of Sessions
Coaching sessions may not be recorded by either party without appropriate notice and consent.
If Shaping Memories wishes to record a workshop, group coaching session, masterclass, testimonial, or other program for educational, promotional, or business purposes, additional notice or consent may be obtained when appropriate.

You agree to use the Shaping Memories website and online services only for lawful purposes.

16. Limitation of Liability
To the fullest extent permitted by applicable law, Shaping Memories and its owners, coaches, employees, contractors, representatives, and affiliates will not be liable for indirect, incidental, special, consequential, or punitive damages arising from or relating to your participation in coaching, use of our website, reliance upon educational information, or use of our programs or materials.
You acknowledge that personal, professional, business, career, relationship, financial, wellness, and other decisions involve risks and that you are responsible for evaluating those risks before taking action.
Nothing in these Terms is intended to exclude or limit liability that cannot legally be excluded or limited under applicable law.
17. Termination of Services
Either the client or Shaping Memories may determine that a coaching relationship should end.
Shaping Memories reserves the right to discontinue services when reasonably necessary, including for nonpayment, repeated missed appointments, inappropriate or abusive behavior, misuse of services or materials, violations of these Terms, or circumstances in which coaching is no longer appropriate.
Any outstanding financial obligations will be handled according to the terms of the applicable coaching agreement or program.

Your use of our website and services may also be governed by the Shaping Memories Privacy Policy.
We encourage you to review the Privacy Policy to understand how personal information may be collected, used, stored, and disclosed.
19. Changes to These Terms
Shaping Memories may update these Terms periodically to reflect changes in our services, business practices, technology, or applicable requirements.
The revised Terms will become effective when posted unless otherwise indicated. The effective date at the top of this document will identify the most recent revision.
Your continued use of our website or services following an update constitutes acceptance of the revised Terms to the extent permitted by applicable law.
20. Governing Law
These Terms will be governed by and interpreted according to the laws of the State of Florida, without regard to conflict-of-law principles, unless applicable law requires otherwise.
Any dispute concerning these Terms or Shaping Memories services will be handled in accordance with applicable law and any additional dispute-resolution provisions contained in a separate signed coaching agreement.

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will continue in full force and effect to the extent permitted by law.
22. Entire Agreement
These Terms, together with any applicable coaching agreement, program-specific terms, Privacy Policy, or other written agreement between you and Shaping Memories, constitute the applicable agreement concerning your use of our services.
If a separately signed coaching agreement conflicts with these general Terms, the specific terms of the signed coaching agreement will control with respect to the services covered by that agreement.
